In these Terms and Conditions, “Surrey Orangery”, “we”, “us” and “our” means Wilton Building Services Ltd trading as Surrey Orangery.

Final specification, price, scope, timescale and method of work will depend on survey, design, access, site conditions, materials, approvals, supplier availability and written agreement.

3. Quotations and fixed price works
Surrey Orangery generally provides fixed price quotations for orangery and extension works based on the written specification, drawings, assumptions, exclusions and site information available at the time the quotation is prepared.
A quotation is not binding until accepted by the customer and confirmed by Surrey Orangery in writing. Unless stated otherwise, quotations are valid for 30 days from the date of issue.
The fixed price applies only to the works, specification and assumptions stated in the quotation.
Any exclusions, assumptions, provisional sums, customer responsibilities, supplier warranties, subcontractor warranties, payment terms, planning items, Building Control items, foundation allowances, service routes, access requirements and guarantee terms stated in the quotation or quote documents form part of the contract.
Additional costs may apply where the customer changes the design, specification, materials, layout, access, timing or scope of works, or where unforeseen site conditions, hidden defects, Building Control requirements, planning requirements, drainage issues, existing building issues, structural issues, supplier issues or other matters arise outside the agreed quotation.
4. Surveys, drawings and site inspection
Surrey Orangery may visit the property, discuss the customer’s requirements, take measurements, review photographs or videos, and prepare a proposal or quotation.
Rendered drawings, visualisations, sketches, layouts, elevations and design images prepared by Surrey Orangery are for illustration, discussion and general layout purposes only. They remain the property of Surrey Orangery unless agreed otherwise in writing.
They are not architectural drawings, structural drawings, construction drawings, Building Control drawings, or technical design documents unless expressly stated in writing.
They may be used as a guide for layout, appearance, approximate proportions, opening positions, lengths and setting out, but the final works will be governed by the quotation, specification, survey measurements, site conditions, supplier requirements, Building Control requirements and structural design requirements.
Unless expressly included in writing, surveys and inspections are visual only and do not include opening up works, trial holes, drainage surveys, CCTV surveys, asbestos surveys, structural investigations, specialist testing, or inspection of concealed areas.
The customer must give accurate information about the property, including boundaries, ownership, access, services, drains, shared drains, planning history, restrictions, covenants, listed status, conservation area status, party wall matters, easements, previous works, historic leaks, damp, movement, drainage problems, flooding, subsidence, structural issues, neighbour issues and known defects.
5. Planning, Building Control and approvals
Surrey Orangery will often assist with planning permission, lawful development applications, Building Control applications, drawings, structural calculations, SAP calculations and related approvals where these services are expressly included in the quotation.
No approval, sign off, certificate, planning decision, lawful development result, Building Control approval, or completion certificate is guaranteed.
Planning services, where included, cover the initial planning application only, unless stated otherwise in writing. Planning fees, drawing fees, application fees and related costs are not refundable if planning permission is refused, withdrawn, delayed, or approved subject to conditions the customer does not wish to accept.
Appeals, resubmissions, fresh applications, major redesigns, bat surveys, ecology surveys, flood reports, drainage reports, arboricultural reports, tree protection plans, heritage statements, planning statements, highway reports, specialist reports, build over notices, build over agreements, water authority approvals, CCTV surveys and drainage works are not included unless expressly stated in the quotation.
Where Building Regulations services are itemised, they may include the Building Control application, Building Control fee, SAP calculations and structural engineering details only to the extent expressly stated in the quotation.
SAP calculations may identify additional works, upgraded insulation, improved glazing performance, ventilation changes, heating changes, renewable energy measures, thermal upgrades, or changes to the existing property. These works are not included unless expressly stated in the quotation.
If the customer declines recommended or required upgrade works, Surrey Orangery will not be responsible for any resulting Building Regulations failure, delay, condensation, damp, mould, heat loss, reduced energy efficiency, comfort issue, performance issue, or additional remedial works caused or contributed to by the declined works.
Any additional work, revised design, deeper foundations, specialist foundations, drainage changes, upgraded materials, structural alterations, inspections, reports, testing, certification, consultant input, or authority requirements not included in the quotation may be charged as an extra.
6. Contract formation
A contract is formed only when Surrey Orangery confirms acceptance of the customer’s order in writing. Acceptance may include signed acceptance of the quotation, written email confirmation, payment of a deposit, written instruction to proceed, or another written confirmation accepted by Surrey Orangery.
The contract will normally include the accepted quotation, agreed specification, agreed drawings or rendered layouts, agreed payment schedule, these Terms and Conditions, any quotation assumptions and exclusions, any guarantee terms, and any supplier, manufacturer, subcontractor, or installer warranty terms supplied at handover.
If there is any conflict between documents, the accepted quotation and written project specific terms take priority over general website information or general Terms and Conditions.
No verbal statement, discussion, estimate, illustration, website example, brochure wording, social media post, message, or informal comment forms part of the contract unless confirmed in writing by Surrey Orangery.
7. Payment terms and ownership of materials
Payment terms will be set out in the quotation, invoice, payment schedule, or written agreement. The customer must pay on time and in accordance with the agreed payment schedule.
Stage payments become due when the relevant stage of works has been reached, unless otherwise stated in writing. The final payment becomes due when the works are practically complete.
Practical completion means the works are substantially complete and capable of being used for their intended purpose, even if minor snagging, adjustment, supplier attendance, documentation, or cosmetic items remain outstanding.
Minor snagging, supplier delays, manufacturer warranty items, cosmetic issues, outstanding documentation, or small outstanding items do not entitle the customer to withhold the full final payment.
Where minor snagging remains, the customer may only withhold a reasonable and proportionate amount that reflects the reasonable cost of the outstanding items, unless otherwise agreed in writing.
Until full payment has been received, all unfixed materials, goods, products, fittings and components supplied or delivered by Surrey Orangery remain the property of Surrey Orangery, where legally permitted.
Surrey Orangery may pause work, delay ordering materials, delay booking subcontractors, withhold documents, withhold guarantee registration, withhold handover documents, or suspend further work if payment is overdue.
The Surrey Orangery guarantee becomes effective only once full payment has been received, unless otherwise agreed in writing.
8. Deposits, ordered materials and bespoke items
Deposits, staged payments and advance payments may be required to secure the project, materials, manufacturing slots, subcontractors, design work, drawings, structural calculations, plant, scaffold, labour, or project dates.
Many items used in orangery and extension works are bespoke, project specific, made to measure, ordered specially, or manufactured to the customer’s specification. These may include windows, doors, glazing, roof lanterns, rooflights, structural steel, timber, roof coverings, specialist trims, fascias, coatings, ironmongery, paving and other project specific materials.
Once bespoke, made to measure, special order, allocated, manufactured, or project specific items are ordered, manufactured, allocated, or committed to the project, cancellation rights, refund rights and change rights may be limited, subject to the customer’s statutory rights.
If the customer cancels, delays, changes, postpones, or reduces the works after such items have been ordered or committed, the customer may remain liable for the cost of those items and any related supplier, manufacturer, subcontractor, design, delivery, storage, cancellation, restocking, or administration charges.
9. Consumer cancellation rights
Where the customer is a consumer, cancellation rights may apply depending on how and where the contract was made.
If the contract is made away from Surrey Orangery’s business premises, or concluded at a distance, the customer may have a 14 day cancellation period.
Where the customer asks Surrey Orangery to start work, carry out design work, arrange surveys, order materials, instruct subcontractors, prepare drawings, submit applications, or begin services during any cancellation period, the customer may be responsible for the reasonable cost of work carried out, services provided, materials ordered, bespoke items ordered, and costs incurred before cancellation.
The customer may lose the right to cancel some or all of the contract where goods are made to the customer’s specification, are clearly personalised, are made to measure, or where services have been fully performed with the customer’s agreement.
Nothing in these Terms and Conditions affects the customer’s statutory rights.
10. Variations and extra work
Any change to the agreed works, specification, materials, layout, design, finish, programme, access, or timing may result in additional cost and delay.
Variations should be agreed in writing where possible before the additional work is carried out. A written variation may include an email, text message, WhatsApp message, revised quotation, variation sheet, invoice, or other written confirmation accepted by Surrey Orangery.
Where the quotation includes a stated number of electrical points, sockets, switches, downlights, external lights, feature lights, or other electrical items, the quotation is based on that allowance.
If the customer requires more or fewer electrical points, sockets, switches, downlights, external lights, feature lights, or other electrical items than stated, the final cost may be adjusted on a pro rata basis so the customer is charged only for the agreed items required.
Extra work, additional materials, extra labour, extra plant, extra waste disposal, extra scaffold, additional visits, additional surveys, additional design work, additional making good, or revised supplier costs will be charged in addition to the original quotation unless expressly included.
Customer changes may affect the programme, supplier lead times, subcontractor availability, completion date, cost and previously agreed specification.
11. Customer responsibilities
The customer must provide safe, clear, reasonable and timely access to the property, working area, garden, driveway and agreed access routes during normal working hours.
Normal working hours are 7.30am to 5.30pm, Monday to Friday, excluding bank holidays.
The customer must provide access to water and electricity during normal working hours where reasonably required. The customer must provide reasonable toilet and welfare facilities unless otherwise agreed in writing.
The customer must provide or arrange any required parking permits and cover any paid parking charges necessary for Surrey Orangery, its employees, subcontractors, deliveries or plant.
If required permits, visitor permits, scratch cards, access passes or parking arrangements are not provided and Surrey Orangery, its employees, subcontractors, deliveries or plant incur parking charges, penalty charge notices, waiting charges, red route charges, permit charges or related costs, these may be charged to the customer.
The customer must keep the work area clear of personal items, furniture, valuables, pets, obstructions and hazards, make decisions within a reasonable time, and keep children, pets and visitors away from the working area.
The customer must remove or protect valuables, fragile items, furniture, soft furnishings, electronics, personal items and stored items from areas affected by the works, including areas below or adjacent to roof, ceiling, opening up, demolition, structural, cutting, drilling, plastering, decorating, access, storage and working areas.
The customer must inform Surrey Orangery before quotation acceptance of any known defects, previous issues, drainage issues, shared drains, build over requirements, flooding, damp, rot, movement, structural issues, asbestos, services, pipes, cables, restrictions, disputes, boundary issues, neighbour issues, party wall matters, covenants, easements, planning restrictions or access issues.
The customer must obtain and maintain any permissions, approvals or consents not expressly included in Surrey Orangery’s written scope.
The customer must not interfere with the works, instruct Surrey Orangery’s employees, subcontractors, suppliers or installers directly, or allow other trades to interfere with Surrey Orangery’s works without prior written agreement.
12. Access, delays and site conditions
Surrey Orangery is not liable for delay or additional cost caused by matters outside its reasonable control.
This includes weather, supplier delays, subcontractor delays, transport delays, manufacturing delays, planning delays, Building Control delays, engineer delays, customer delay, late decisions, lack of access, restricted access, lack of water, lack of electricity, parking restrictions, delivery restrictions, hidden site conditions, ground conditions, drainage issues, utility issues, structural defects, neighbouring property issues, party wall matters, illness, accident, emergency, strikes, shortages, force majeure, or other events beyond Surrey Orangery’s reasonable control.
Any completion dates or timescales are estimates unless expressly agreed in writing as fixed dates.
If access, parking, water, electricity, welfare facilities, working areas, storage areas, or delivery routes are unavailable, restricted, unsafe, or delayed, Surrey Orangery may revise the programme and charge any reasonable additional costs caused by that delay or restriction.
Surrey Orangery will take reasonable steps to keep the customer informed of significant delays where practical.
13. Existing structures and hidden defects
Surrey Orangery is not responsible for defects, weakness, movement, damp, rot, poor workmanship, non compliance, unsuitable foundations, structural inadequacy, drainage defects, previous alterations, hidden services, hidden pipework, hidden cables, or hidden issues in the existing building unless expressly included in the agreed scope of works.
Where Surrey Orangery’s works connect, tie into, build from, weatherproof against, or rely on any existing wall, roof, floor, foundation, drainage, service, cladding, tile hanging, render, fascia, soffit, banding, structure, or other part of the existing property, the quotation assumes that the existing structure is suitable unless stated otherwise in writing.
If hidden defects, unsuitable existing conditions, poor structure, rot, damp, movement, weak walls, defective foundations, defective drainage, asbestos, unsuitable tile hanging, unsuitable cladding, unsuitable banding, poor fixing, water damage, or other issues are discovered, Surrey Orangery may recommend extra work, specialist advice, revised design, structural input, or additional cost before proceeding.
Any additional works required to make the existing property suitable will be treated as extra work unless expressly included in the quotation.
Surrey Orangery will take reasonable care to protect the property during opening up, demolition, structural works, roof works, weatherproofing works and tie in works. However, these works may involve temporary exposure to weather and may reveal existing defects or weaknesses. Surrey Orangery is not responsible for water ingress, staining, damp, damage or delay caused by severe weather, existing defects, defective existing roofs, walls, flashings, render, cladding, tile hanging, pointing, customer delay, access restrictions, failure of existing structures, or matters outside Surrey Orangery’s reasonable control, provided Surrey Orangery has taken reasonable protective measures.
14. Materials, finishes and cosmetic movement
Natural materials and manufactured products may vary in colour, grain, texture, finish, shade, pattern, size, weathering, movement and appearance.
Samples, photographs, brochures, showroom displays, rendered drawings, visualisations, website images and social media images are guides only and may not exactly match final installed products.
Where Surrey Orangery attempts to match existing materials, colours, brickwork, mortar, render, paving, tiles, roof coverings, cladding, fascias, soffits, paint, stain, aluminium colours or other finishes, the match will be made as closely as reasonably possible, but an exact match is not guaranteed unless expressly agreed in writing.
Minor colour variation, surface variation, natural markings, shade differences, texture differences, grain variation, batch variation, weathering and normal material movement are not defects unless they materially affect performance or fall outside relevant supplier or manufacturer tolerances.
Hairline cracks, minor plaster cracks, minor shrinkage cracks, small settlement cracks, plasterboard joint lines, screw head popping, slight movement at junctions, and minor cracking where new works meet the existing building may occur as the works dry out, settle and move through normal seasonal conditions.
These items are generally cosmetic and do not usually indicate structural failure or defective workmanship.
15. Specialist products, suppliers and subcontractors
Surrey Orangery may use suppliers, manufacturers, subcontractors, installers, roofers, glazing contractors, window and door installers, electricians, plumbers, plasterers, decorators, roof covering specialists, guttering specialists, structural engineers, Building Control providers, planning consultants, scaffolders, waste contractors and other specialists.
Where specialist products or works are supplied, manufactured, installed, or warranted by third party suppliers, manufacturers, subcontractors, or specialist installers, they are covered in line with the relevant supplier, manufacturer, subcontractor, or installer warranty.
Specialist products may include windows, doors, glazing, sealed units, roof lanterns, rooflights, roof coverings, guttering, downpipes, fascias, roofline products, ironmongery, coatings, electrical products, heating products, underfloor heating systems, smart controls and other specialist components.
Surrey Orangery will remain the customer’s main point of contact for the works and will coordinate valid claims with the relevant supplier, manufacturer, subcontractor, or installer where reasonably possible.
Surrey Orangery does not manufacture specialist products and does not provide a wider or longer product guarantee than the warranty provided by the relevant supplier, manufacturer, subcontractor, or installer.
16. Guarantees, warranties and maintenance
Any Surrey Orangery guarantee is subject to full payment of all sums due under the relevant contract.
Surrey Orangery’s workmanship guarantee, specialist product warranty terms, supplier warranty terms, subcontractor warranty terms, maintenance requirements, transfer conditions and exclusions will be set out in the guarantee document issued for the project.
Unless stated otherwise in writing, Surrey Orangery guarantees its own workmanship for 12 months from practical completion.
Where a latent defect caused by Surrey Orangery’s own workmanship materially affects structural integrity or weatherproofing and could not reasonably have been identified within the first 12 months, Surrey Orangery will review the matter fairly in line with the project guarantee.
Specialist products are covered in line with the relevant supplier, manufacturer, subcontractor or installer warranty.
The guarantee is in addition to the customer’s statutory rights and does not reduce those rights.
The customer is responsible for routine maintenance after completion. This may include cleaning frames and glass, clearing drainage channels and weep holes, lubricating hinges and locks, inspecting and maintaining sealants, checking gutters and downpipes, checking paving falls and drainage, maintaining ventilation, repainting or touching up timber, and complying with supplier, manufacturer, subcontractor or installer maintenance guidance.
Failure to maintain the works, products, finishes, coatings, drainage, ventilation, sealants, timber, gutters, downpipes, or specialist components may affect the customer’s ability to claim under any guarantee or warranty, particularly where the failure caused or contributed to the defect.
Unless expressly agreed otherwise in writing, future inspection, maintenance, guarantee inspection, warranty inspection, repair or remedial attendance does not include the cost of access equipment, scaffolding, lifting equipment, plant, opening up works, protection works, redecoration, reinstatement, making good, or third party attendance.
17. Timber, paint and coatings
External timber is a natural material and may expand, contract, move, shrink, swell, crack, check, open at joints and weather over time.
Painted external timber finishes applied by Surrey Orangery may be covered against defective application for the period stated in the project guarantee, provided the customer has inspected, cleaned, maintained, touched up, repaired and protected the timber, paintwork, coatings and sealants correctly.
Unless expressly stated otherwise in the project guarantee, any cover for painted external timber finishes applied by Surrey Orangery is limited to defective application only.
Surrey Orangery is not responsible for normal timber movement, expansion, contraction, shrinkage, swelling, surface checking, cracking, open grain, open joints, knot bleed, resin bleed, tannin staining, colour change, fading, weathering, algae growth, mould growth, natural ageing, or water damage caused or contributed to by failed maintenance, failed paintwork, failed sealant, blocked gutters, blocked drainage, standing water, poor ventilation, third party alteration, damage by others, or normal timber behaviour.
18. Completion, snagging and handover
Practical completion means the works are substantially complete and capable of being used for their intended purpose, even if minor snagging, adjustment, supplier attendance, documentation, or cosmetic items remain outstanding.
Practical completion does not mean that every minor snag, adjustment, decorative item, supplier item, warranty item, certificate, or cosmetic issue has been completed.
The customer must notify Surrey Orangery of any visible snagging, cosmetic issues, damage, scratches, marks, colour variation, or obvious defects as soon as reasonably possible after practical completion.
Unless agreed otherwise in writing, cosmetic issues, visible defects, minor plaster cracks, screw pops, shrinkage cracks, settlement cracks, scratches, marks, chips, colour variation, or decorative defects that do not affect performance must be reported within 12 months of practical completion.
After 12 months, minor cosmetic issues, decorative maintenance, filling, sanding, touching up, repainting, and normal movement cracks will be treated as customer maintenance unless caused by defective workmanship.
At or shortly after practical completion, Surrey Orangery may provide relevant handover documents, supplier warranty information, maintenance guidance, certificates, guarantees and product information where available.
19. Complaints and disputes
If the customer is unhappy with any part of the works, service, products, finish, programme, invoice, guarantee position, or any other matter, they should contact Surrey Orangery in writing as soon as possible.

The customer should provide the property address, a clear description of the issue, photographs where relevant, and any supporting information.
Surrey Orangery will aim to acknowledge the complaint within 5 business days where reasonably possible.
The customer must allow Surrey Orangery a reasonable opportunity to inspect and, where appropriate, remedy any alleged defect before arranging third party repairs or replacement works.
If the customer arranges third party repairs, replacement works, opening up works, inspections, reports, or alterations without giving Surrey Orangery a reasonable opportunity to inspect and respond first, this may affect the customer’s ability to recover those costs or claim under any guarantee.
20. Limitation of liability
Nothing in these Terms and Conditions excludes or limits liability where it would be unlawful to do so.
Nothing in these Terms and Conditions excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
Subject to the customer’s statutory rights, Surrey Orangery is not liable for indirect, consequential, or special losses, including loss of use, loss of profit, loss of rent, loss of income, delay costs, inconvenience, alternative accommodation costs, loss of enjoyment, or losses arising from matters outside Surrey Orangery’s reasonable control.
Where Surrey Orangery is responsible for defective workmanship, Surrey Orangery’s liability will normally be limited to the reasonable cost of repairing, replacing, or rectifying the defective work, unless otherwise required by law.
Surrey Orangery is not responsible for betterment, upgrades, replacement of unrelated items, redecoration beyond the affected area, loss arising from customer neglect, or works outside the agreed quotation unless expressly agreed in writing.
21. Statutory rights
Nothing in these Terms and Conditions affects the customer’s statutory rights.
Where the customer is a consumer, Surrey Orangery will carry out services with reasonable care and skill.
Goods supplied as part of the contract will be subject to the customer’s statutory rights.
If there is any conflict between these Terms and Conditions and rights that cannot legally be excluded or limited, those statutory rights will take priority.
22. Changes to these Terms and Conditions
Surrey Orangery may update these Terms and Conditions from time to time.
The version applying to a project will normally be the version in force when the quotation is accepted, unless otherwise agreed in writing.
Changes made after the customer has accepted a quotation will not normally change the agreed contract for that project unless the customer and Surrey Orangery agree the change in writing.
Surrey Orangery may correct obvious errors, spelling mistakes, formatting issues, broken website links, or administrative details without affecting the substance of the contract.
23. Governing law
These Terms and Conditions are governed by the laws of England and Wales.
Any dispute arising out of or in connection with these Terms and Conditions, the website, any quotation, or any contract with Surrey Orangery shall be subject to the non exclusive jurisdiction of the courts of England and Wales.
